These Terms of Service (“Terms”) govern your access to and use of the ExactlyHQ website (exactlyhq.com) and, where applicable, the services we provide to clients. By using the site or engaging our services, you agree to these Terms.
1. Who We Are
ExactlyHQ provides website design, local SEO, reputation and review systems, lead-capture tools, and related marketing systems primarily for local businesses. References to “ExactlyHQ,” “we,” “us,” or “our” mean the ExactlyHQ business operating this website.
2. Website Use
You may use this website for lawful purposes only. You agree not to:
- Attempt to gain unauthorized access to any part of the site or related systems
- Interfere with the operation or security of the site
- Use the site to transmit malware, spam, or unlawful content
- Scrape or harvest data in a manner that burdens our systems or violates applicable law
We may suspend or restrict access if we reasonably believe these Terms are being violated.
3. No Guarantee of Results
Marketing and search engine outcomes depend on many factors outside our control, including competition, market conditions, algorithm changes, and how consistently systems are used. We do not guarantee specific rankings, lead volumes, revenue, or other results. Any examples or case descriptions are illustrative only.
4. Client Services
When you engage ExactlyHQ for services, the specific scope, pricing, timeline, and responsibilities will be set out in a separate agreement, proposal, or onboarding documents. In the event of a conflict between those documents and these website Terms, the service agreement controls for the paid engagement.
Unless otherwise stated in writing, our client relationships are month-to-month. Either party may cancel according to the notice terms in the applicable agreement.
5. Intellectual Property
The ExactlyHQ name, logo, website design, content, and related materials are owned by us or our licensors. You may not copy, modify, or distribute our branding or site content for commercial purposes without prior written permission.
For client work: ownership and license terms for websites, copy, and other deliverables are defined in the applicable client agreement. Typically, clients receive rights to use the finished work for their business once fees are paid as agreed.
6. Third-Party Tools and Links
Our site or services may reference or integrate third-party tools (analytics, email, SMS, review platforms, etc.). Those services are governed by their own terms and privacy policies. We are not responsible for third-party practices or availability.
7. Disclaimers
The website and any free information we provide are offered “as is.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error-free.
8. Limitation of Liability
To the maximum extent permitted by law, ExactlyHQ and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising from your use of the site or our services. Our total liability for any claim related to the website is limited to the greater of (a) the amount you paid us (if any) in the twelve months preceding the claim for the specific service giving rise to the claim, or (b) one hundred U.S. dollars ($100).

We may update these Terms from time to time. The “Last updated” date will change accordingly. Continued use of the site after updates constitutes acceptance of the revised Terms. Material changes to client service terms will be communicated as required under the applicable agreement.
